1. Acceptance of Terms

These Terms and Conditions (the Terms) govern access to and use of Board, including the web application, mobile access, kiosk mode views, and API endpoints (the Service).

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "Customer", "you", and "your" refer to that entity.

2. Changes to Terms

We may update these Terms from time to time to reflect changes in the Service, legal requirements, or our business practices. If changes are material, we will provide notice via email, within the Service, or on our website. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

3. Account Registration and Security

To use the Service, you must create an account. When registering and while using the Service, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update account information as needed
• Keep your password, PINs (if applicable), and API keys confidential
• Be responsible for all activity occurring under your account and your users' accounts
• Notify us promptly of any unauthorized access or security incident

We may suspend access where we reasonably believe an account has been compromised or where required to protect the Service or other customers.

4. Subscription, Trials, and Payments

Certain features may require a paid subscription. Subscription plans may include limits (for example employee count, job limits, attachments, drawings per job, or other plan constraints).

• Trials: If offered, trials provide access until the trial end date shown in the Service, unless ended earlier.
• Billing: Fees, billing cycles, and taxes (including VAT where applicable) are displayed at purchase or in your billing page.
• Payment processing: Payments are handled by third party payment processors. We do not store full payment card data.

We may suspend or restrict the Service for non-payment, chargebacks, or suspected fraud, to the extent permitted by law.

5. Customer Content and Data

5.1 Customer Content Ownership

You retain all rights to data, files, images, drawings, notes, logs, and other content you upload or create within the Service (Customer Content).

5.2 License to Operate the Service

You grant Apslo Sp. z o.o. a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and reproduce Customer Content solely as necessary to provide, maintain, secure, and improve the Service, including for backups, disaster recovery, and support operations when authorized.

5.3 Customer Responsibilities

You are responsible for Customer Content, including:

• Ensuring you have the right and legal basis to upload and process personal data within the Service
• Ensuring Customer Content does not violate law or third party rights
• Configuring access rights, roles, and kiosk visibility appropriately
• Maintaining security of credentials and controlling distribution of kiosk URLs

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not, and must not allow users to:

• Upload content that infringes intellectual property, privacy, or other rights
• Upload or distribute unlawful, harmful, abusive, or offensive content
• Upload malware or use the Service to distribute spam
• Attempt to gain unauthorized access to the Service, accounts, or underlying infrastructure
• Interfere with, disrupt, overload, or attempt to bypass security or rate limits
• Reverse engineer, decompile, or attempt to derive source code, except to the extent permitted by mandatory law
• Use the Service to provide a competing service or resell access unless expressly authorized in writing

7. Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy. By using the Service, you acknowledge that your use is subject to that policy.

Where you act as Controller and we act as Processor for Customer Content, the DPA terms described in the Privacy Policy (or a signed DPA for enterprise customers) apply in addition to these Terms.

8. Intellectual Property

The Service, including its software, interfaces, design, documentation, and trademarks, is owned by Apslo Sp. z o.o. and its licensors. Except as expressly permitted by these Terms, no rights are granted to you.

9. Availability, Maintenance, and Support

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted operation. We may perform maintenance, updates, and changes to the Service, and we may temporarily suspend access where necessary.

10. Termination and Suspension

You may stop using the Service at any time. You may request account termination by contacting us at [email protected].

We may suspend or terminate access to the Service immediately if:

• You breach these Terms
• We reasonably believe your use creates a security risk, violates law, or may harm the Service or other customers
• Required by law or valid legal process
• Fees are overdue (where applicable)

Upon termination, your right to use the Service ends. Sections intended to survive termination, including IP, confidentiality expectations, disclaimers, limitation of liability, and governing law, will survive.

11. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an as is and as available basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error free, or that defects will be corrected.

12. Limitation of Liability

To the maximum extent permitted by law, Apslo Sp. z o.o. and its affiliates, directors, employees, suppliers, and licensors will not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business, goodwill, or anticipated savings
• Loss, corruption, or unavailability of data
• Business interruption

To the extent liability is not excluded, our total aggregate liability for all claims relating to the Service will be limited to the amount paid by you to us for the Service in the 12 months immediately preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnity

You agree to indemnify and hold harmless Apslo Sp. z o.o. from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content, (b) your use of the Service in violation of these Terms or law, or (c) your infringement of third party rights.

14. Governing Law and Jurisdiction

These Terms are governed by the laws of Poland, without regard to conflict of law provisions. The courts with jurisdiction in Poland will have exclusive jurisdiction over disputes arising out of or relating to these Terms, unless mandatory consumer law applies.

The Service is offered for business use. If mandatory laws of another jurisdiction apply to you, those mandatory provisions may prevail.
